What does LLP mean?
Pursuant to recent amendments in the British Columbia Partnership Act, Victory Square Law Office, a partnership of David Blair, John Rogers, John Hodgins, Craig Bavis, Sebastien Anderson and Marjorie Brown, has become a limited liability partnership effective March 7, 2005. The firm is now known as VICTORY SQUARE LAW OFFICE LLP.
In an ordinary partnership the firm’s obligations to each client are backed by all of the firm’s assets, including the benefit of its insurance protection and also the personal assets of all the partners.
As the name implies, the change to an LLP organization changes the firm’s liability to clients. The obligations to each client are backed by all the firm’s assets, including insurance protection, and the personal assets of the partner or partners who actually performed the work for the client and of any others who knew of any error which led to a liability. The difference is that the personal assets of those partners who were neither responsible for the work nor aware of the error no longer back the obligation.
Accordingly, there is no reduction or limitation on the liability of the partnership. The firm’s obligations and liabilities continue to be covered by the firm’s assets and insurance and we continue to hold practice and liability insurance in excess of the required minimums for the protection of our clients.
The change to an LLP does not affect the firm’s business practices. VICTORY SQUARE LAW OFFICE LLP and its partners, associates, and staff look forward to continuing to provide our clients with the highest quality legal services.
